ΠΕΡΙΓΡΑΦΗ
The Cyprus Companies Law, Cap. 113 initially mirrored the provisions of the English Companies Act of 1948 and has been amended to incorporate provisions of EU Law and for modernisation purposes. It includes a wide range of provisions covering the incorporation, functioning, administration, reorganisation and dissolution of Cyprus companies. Further, many Cyprus companies adopt partly or wholly the model Regulations contained in Table A of the Companies Law, Cap. 113.
This programme is built on more than 12 years of day-to-day experience with junior and senior corporate lawyers and corporate administrators and focuses in understanding the basic theory behind practice with regard to the formation, structuring and re-structuring of Cyprus companies.
Participants shall acquire a solid understanding of the types of Cyprus companies, the relationship between members and officers and their respective obligations and liabilities, the nature and types of the share capital, the meetings of Directors’ and Shareholders’ Meetings and their respective Resolutions. Answers to questions from day-to-day practice will be given, through practical examples HE forms will be completed.
Through practical examples HE forms will be completed and the bank account opening procedure shall be presented.

By the end of the programme, participants will be able to:
- Understand the characteristics of Cyprus companies.
- Understand the importance of the M & A (Memorandum & Articles of Association)
- Improve knowledge regarding the relationship between Shareholders and Officers and the duties of each Officer.
- Understand the different types of shares in Cyprus Companies.
- Understand the procedure of structuring and restructuring of a Cyprus company (approval of name, common seal, capital, change in officers, transfers of shares etc.).
- Analyse the Company’s Meetings and the different types of Resolutions.
- Describe the annual obligations of Cyprus companies.
- Recognize and understand HE Forms for each procedure.
- Use on-line filing methods and procedures with the Registrar of Companies.
- Be familiar with the bank account opening procedure.

Training Style
Training method to be used is modern e-learning or distance learning. That is, the simultaneous participation of trainees and an instructor in the learning process is required.
The training techniques are lecture, discussion, avalanche, questions – answers, brainstorming and practice. The specific techniques are suitable for the nature of the subject of the seminar, the educational style of the trainer and the learning outcomes. Explanation of the necessary theory behind practice shall be made and progresses with a focus on the documents and procedures. Electronic material and hard copies shall be delivered to participants. Role play and brainstorming shall also be applied during delivery.
The training tools are the computer, the internet and the training manual.
The training materials are provided by the electronic platform and are the Whiteboard and other materials available online.
Knowledge Test
At the completion of the knowledge areas, participants will be assessed via the form of Multiple-Choice Questions which will consist of questions related to the material taught. The aim of the assessment is to examine participants’ overall attention and knowledge of material taught as well as their competencies towards the implementation of practical cases.
CPD Recognition
This programme may be approved for up to 28 CPD units in Law and Corporate Administration. Eligibility criteria and CPD Units are verified directly by your association, regulator or other bodies which you hold membership.
The Cyprus Bar Association (CyBAR) has confirmed that this programme is accredited for 14 CPD units.
Co-Trainer
Mary Olive McCluskey
Mary – Olive McCluskey obtained a Law Degree from the Aristotle University of Thessaloniki, Greece, then pursued an LL.M in European Law (University of Exeter, UK) and was admitted to the Cyprus Bar Association in 2006. She is a practicing advocate (Nicosia Bar Association) with experience in civil and commercial law and litigation. She is also a licensed Insolvency Practitioner with experience in loan restructuring, debt collection, liquidation and bankruptcy. She is fluent in the English and in the Greek language and she was recently registered with the Cyprus Register of Sworn Translators.
