Redomiciliation is the process of transferring a company's domicile from one jurisdiction to another. In the case of Cyprus, redomiciliation refers to the process of transferring a foreign company's domicile to Cyprus.

The redomiciliation process in Cyprus is governed by the Companies (Transfer of Registered Office) Law of 2007, which allows companies to redomicile to Cyprus from any other jurisdiction, and also allows Cypriot companies to transfer their domicile to other jurisdictions

This  course looks at the key issues, the problems that need to be addressed and the  drafting skills involved in relation to redomiciliation of companies in and  out of Cyprus. The  course will be interactive, based on realistic case studies and incorporating  specific drafting suggestions and precedents. You will be guided on  the meaning, legal implications and significance of the Law regarding the  process of transferring a company’s headquarters inside and outside the  Republic of Cyprus. You  will be provided with specimens such us special resolutions, newspaper  announcement, Board Resolutions etc. You  will gain expert knowledge enable you to improve your knowledge and  understanding redomiciliation process by engaging with key issues.

1.    2-hours – Practical aspect of Re-domiciliation inside the Republic of Cyprus

  • Introduction to the program

  • Legal framework – Cyprus and EU
  • Which stakeholders’ interests might be affected by a re-domiciliation

  • The very first steps that a lawyer must take when receiving instructions for re-domiciliation
  • Describe the two-step procedure that should be followed in the Registrar of Companies; i.e. 1. procedure up to the issuance of the Temporary Certificate of Continuation and 2. procedure after the issuance of the Temporary Certificate of Continuation
  • Actual costs of the Registrar of Companies
  • Presentation of the forms (ME1and ME4) that need to be filed with the Registrar and advise trainees how to complete them
  • Examples of documents that a company the ME1 and ME4 forms.
  • Case studies and practical exercises 


2.    2-hours – Practicalaspect of Re-domiciliation outside the Republic of Cyprus 

  • The very first steps that a lawyer must take when receiving instructions for re-domiciliation
  • Documents that should be obtained from the client before initiating the re-domiciliation procedure
  • Describe the procedure in theRegistrar of Companies for obtaining the Certificate of Consent
  • Actual costs of the Registrar of Companies
  • Presentation of the form ME2that needs to be filed with the Registrar and advise trainees how to complete it
  • Examples of documents that a ccompany the ME2 form
  • Examples of the newspaper publications required by law
  • What are the legal gateways of creditors that do not consent to the re-domiciliation
  • Discuss the EU legislation and case law
